kudl.ai Terms of Service

1. Who We Are

kudl.ai is an AI companion platform that lets you chat with fictional, AI-generated personas through text, images, and voice. Everything you experience on the Service is created by artificial intelligence for entertainment and companionship purposes only.

We are not a dating service, a matchmaking service, a social network, or a means of communicating with real people. We are not a healthcare, mental health, counseling, or crisis service, and we do not provide professional advice of any kind. The companions on kudl.ai cannot meet you, contact you outside the Service, or take any action in the real world.

2. Age Requirement (18+)

You must be at least 18 years of age, or the age of majority in your jurisdiction if that age is higher, to access or use kudl.ai. The Service is intended only for adults and may include mature, adult, or suggestive content.

By accessing or using the Service, you represent and warrant that you are 18 or older and that you meet this requirement. We may use age-verification or age-assurance measures, and we reserve the right to request proof of age at any time.

We reserve the right to suspend, restrict, or permanently terminate any account where the age requirement cannot be confirmed or where we have reason to believe the user is a minor. If you are a parent or guardian and believe a minor has accessed the Service, please contact us at support@kudl.ai.

3. Fictional Companions (Not Real People)

All companions on kudl.ai are entirely AI-generated fictional personas. They are not real people. They do not have real identities, real feelings, real lives, or real relationships, and they are not capable of forming a genuine relationship with you.

Any resemblance between a companion and any real individual, living or deceased, including any name, appearance, voice, or personality, is purely coincidental and unintentional. Companions are not intended to depict, impersonate, or represent any actual person.

Because companions are fictional and generated by AI, their personalities, memories, and responses may change over time, may be inconsistent, and may not reflect prior conversations. You acknowledge that any emotional connection you may feel is directed at a work of fiction.

4. Acceptable Use

You agree to use kudl.ai lawfully and respectfully. You agree NOT to use the Service to: harass, threaten, abuse, defame, stalk, or harm any other person; violate any applicable law or regulation; infringe the intellectual property, privacy, or other rights of any third party; transmit malware, spam, or other harmful code; or interfere with, disrupt, or place an undue load on the Service or its infrastructure.

You also agree not to: attempt to reverse-engineer, decompile, disassemble, scrape, copy, or extract the source code, models, prompts, or underlying systems of the Service; use bots, crawlers, automated scripts, or other automated means to access or interact with the Service except where we expressly permit it; circumvent any security, rate-limiting, age-verification, or content-moderation measure; or resell, sublicense, or commercially exploit access to the Service without our written permission.

You are responsible for all activity that occurs under your account and for keeping your login credentials secure. We may suspend or terminate accounts that violate these rules, with or without notice.

5. AI-Generated Content

All messages, images, voice outputs, and other content produced by companions are generated by artificial intelligence. AI output can be inaccurate, incomplete, inconsistent, outdated, biased, nonsensical, or unexpected, and it may not reflect real facts, real events, or your previous conversations.

You should treat all AI-generated content as fiction and entertainment. You should not rely on it for any real-world decision, and you should independently verify anything that matters. We do not guarantee the accuracy, reliability, appropriateness, continuity, or availability of any AI-generated content.

Despite our content-moderation efforts, AI systems are imperfect and may occasionally produce content you find objectionable or that does not align with these Terms. If you encounter content that appears to violate these Terms, please report it to support@kudl.ai.

6. Not Professional Advice

Nothing provided by kudl.ai or its companions constitutes medical, psychological, mental-health, legal, financial, tax, or any other professional advice, and no companion is a licensed professional, therapist, doctor, lawyer, or advisor. The Service is not a substitute for professional care or treatment.

Do not use kudl.ai for emergencies or in place of qualified help. If you are in crisis, experiencing thoughts of self-harm, or facing a medical or safety emergency, contact a qualified professional, a local crisis hotline, or emergency services immediately. kudl.ai cannot and will not respond to emergencies.

7. Payments, Subscriptions & Roses

kudl.ai offers free features as well as paid tiers, including Basic and Premium subscriptions, and a virtual token called 'Roses' that can be purchased and spent within the Service. Paid features, higher usage limits, and certain content may require an active subscription or a sufficient Roses balance.

All payments are processed by our third-party payment provider, Stripe. By making a purchase, you agree to Stripe's applicable terms and authorize us and Stripe to charge your selected payment method for the amounts shown at checkout, including any applicable taxes. We do not store your full payment card details.

Subscriptions renew automatically at the end of each billing period (for example, monthly or annually) at the then-current price until you cancel. You may cancel at any time through your account settings; cancellation stops future renewals, and your paid access continues until the end of the current billing period. We may change prices or plan features on a going-forward basis, with notice where required by law.

Roses are a virtual, in-service token with no cash value, are non-transferable, and cannot be redeemed, exchanged for cash, or withdrawn except where required by applicable law. Roses may expire and may be forfeited if your account is suspended or terminated for a violation of these Terms.

Except where required by applicable law, all sales and charges (including subscription fees and Roses purchases) are final and non-refundable, including for unused subscription time or unused Roses. Where you have a statutory right to a refund or cancellation, that right is not affected by these Terms. To request a refund permitted by law, contact us at support@kudl.ai.

8. Strictly Prohibited Content

We enforce a strict zero-tolerance policy. You must never use kudl.ai to request, generate, upload, share, or attempt to create any of the following, and doing so will result in immediate termination and may be reported to law enforcement.

Absolutely nothing involving minors. This includes any sexual, suggestive, exploitative, or abusive content involving anyone who is, appears to be, or is described, depicted, role-played, or implied to be under 18, whether real or fictional. There are no exceptions. You may not attempt to make any companion present as, role-play as, or be depicted as a minor.

No non-consensual real-person content. You may not create, request, or share content that depicts, impersonates, sexualizes, or targets a real, identifiable person without their consent, including 'deepfakes', revenge content, intimate images, or content used to harass, defame, threaten, or blackmail a real person.

No illegal content. You may not use the Service for any content or activity that is illegal under applicable law, including (without limitation) content that promotes terrorism or violent extremism, human trafficking, sexual violence, the exploitation or endangerment of others, illegal weapons or drugs, or any other unlawful act.

9. Account Suspension & Termination

We may suspend, restrict, or terminate your account or access to the Service, in whole or in part, at any time and with or without notice, if we reasonably believe you have violated these Terms (including the prohibited-content and acceptable-use rules), if required to comply with law or a lawful request, to protect other users or the Service, or if we discontinue the Service.

You may stop using the Service and delete your account at any time. Upon termination, your right to use the Service ends immediately. Sections of these Terms that by their nature should survive termination (including intellectual property, disclaimers, limitation of liability, and governing law) will continue to apply. Termination for a violation may result in forfeiture of any unused subscription time or Roses without refund, except where required by law.

10. Privacy & Data

We collect information such as your email address, account details, conversation history, purchase records, and usage data in order to provide, secure, personalize, and improve the Service. We handle your information as described in our Privacy Policy.

We do not sell your personal data to third parties. We store conversation and account data securely and use it to operate the Service and tailor your experience, and we may use service providers (such as our payment, hosting, and AI-infrastructure partners) to help us deliver the Service.

Certain AI sub-processors and infrastructure providers we use may process your content to provide and improve AI features, including model training, as described in our Privacy Policy. Please review the Privacy Policy's sub-processor and model-training disclosures for details on how your data may be used in this way.

You may request access to or deletion of your personal data by contacting us at support@kudl.ai, subject to any legal obligations that require us to retain certain information. Deleting your data may require closing your account and may result in the loss of conversation history and unused Roses.

11. Cookies & Analytics

We use cookies, similar technologies, and analytics tools to keep you signed in, remember your preferences, secure the Service, and understand how users interact with the platform so we can improve it.

By using kudl.ai, you consent to this use as described here and in our Privacy Policy and any cookie settings we provide. You can clear or block cookies through your browser settings at any time, though some features of the Service may not function properly if you do.

12. Intellectual Property

All content, software, branding, names, logos, designs, and AI personas on kudl.ai are owned by or licensed to us and are protected by intellectual property laws. Subject to these Terms, we grant you a limited, personal, non-exclusive, non-transferable, revocable license to access and use the Service for your own personal, non-commercial enjoyment.

You may not copy, reproduce, distribute, publicly display, modify, create derivative works from, sell, or commercially exploit any part of the Service, including companions and their outputs, without our prior written permission, except as expressly allowed by these Terms or by law.

You are responsible for any content you submit to the Service (such as messages or prompts) and represent that you have the right to submit it. You grant us a worldwide, royalty-free license to host, store, process, and use your submitted content as necessary to operate, secure, moderate, and improve the Service, consistent with our Privacy Policy.

13. Disclaimers

The Service is provided on an 'as is' and 'as available' basis without warranties of any kind, whether express, implied, or statutory, to the maximum extent permitted by law. We disclaim all implied warranties, including merchantability, fitness for a particular purpose, accuracy, and non-infringement.

We do not warrant that the Service will be uninterrupted, error-free, secure, or free of harmful components, or that any AI-generated content will be accurate, reliable, appropriate, or suitable for any purpose. Your use of the Service and reliance on any content is at your own risk. Some jurisdictions do not allow certain disclaimers, so some of the above may not apply to you.

14. Limitation of Liability

To the maximum extent permitted by law, kudl.ai and its owners, affiliates, employees, and partners will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, data, goodwill, or emotional distress, arising out of or relating to your use of (or inability to use) the Service, even if we have been advised of the possibility of such damages.

To the maximum extent permitted by law, our total aggregate liability for all claims relating to the Service will not exceed the greater of the amount you paid us in the twelve (12) months before the event giving rise to the claim, or USD 100.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law. Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

15. Governing Law

These Terms and any dispute arising out of or relating to them or the Service are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws rules. You agree that the state and federal courts located in Delaware will have exclusive jurisdiction, except where applicable law gives you the right to bring proceedings in your local courts.

16. Changes to These Terms

We may update these Terms from time to time, for example to reflect changes to the Service, our practices, or the law. When we make material changes, we will update the 'Last updated' date and may provide additional notice where required.

Your continued use of kudl.ai after updated Terms are posted constitutes your acceptance of the updated Terms. If you do not agree to the changes, you should stop using the Service and may close your account.
